Research Abstract

本研究課題は、証券訴訟、特に、不実の情報開示によって損害を受けた投資家による証券発行会社および関係者に対する損害賠償請求訴訟における機関投資家の役割と義務について研究するものである。 具体的には、証券訴訟が社会的に期待されている機能を適切に発揮するために、機関投資家は、どのような役割を担うべきなのか、不実の情報開示により損害を受けた機関投資家は、証券訴訟を提起するか否かを判断する場面や訴訟追行の過程において、善管注意義務あるいは忠実義務の内容として、具体的にどのような義務を負うと解釈すべきか、といった問題について考察する。
