Corporate governance is generally defined as the system controlling and directing corporations as well as their executives. Law and economics have primarily provided central theoretical frameworks in the field. However, on corporate governance there should be the other perspective in order to give coherent answers to the following questions. How it is justified that an equal individual should be managed in a corporation? What is the ideal of management? The perspective is termed as a theory of organizational governance. In order to build the theory, discourses of corporate culture are critically examined. The analysis shows its ideal of governance and problems. Then, this paper attempts to describe a preliminary picture of a theory of organizational governance. It is a normative theory of prescribing the excellent management, based upon Michel Foucault’s concept of governability. According to Foucault, governance is considered as an activity shaping the field of action. Besides, in the Foucault’s governance, organizational governance is built in self-governance of its members. Finally, this paper proposes that the ideal of organizational governance should be driven by the search for excellence. In the ideal, organizational members should use the narrative oftheir company to govern themselves. A brief case study of Hewlett Packard is presented to exemplify the analysis from the viewpoint of organizational governance.
