Abstract

In today's context, mergers and acquisitions have an impact beyond the borders of individual countries. For instance, when reviewing mergers and acquisitions between multinational corporations, there is information exchange and cooperation among competition authorities in various countries. Therefore, companies involved in such mergers and acquisitions need to prepare for merger review processes, and competition authorities in each country should not only understand their own but also other countries' merger review systems to facilitate smooth cooperation. This article, based on this awareness, compares and analyzes South Korea's merger review system with that of Japan. In particular, it examines the differences between review processes of "The Effect May Be Substantially to Restrain Competition" in both countries and offers suggestions for improving their merger review criteria.
