When scandals occur in business, the word “corporate governance” becomes a keyword used by many. Corporate governance, and mainly the questions: “Who owns a corporation?” and “Who and how should a corporation be managed and supervised?” are discussed. However, in this day and age, on one hand, emphasis is on legal regulations, while on the other hand, trends downplay ethical problems. In this paper, in order to search for a solution to these problems, clues from “German business ethics（Unternehmensethik）are examined, and the relationship between corporate governance and business ethics are correlated. Based on this, this paper considers implications of this relationship.
