能' and '会' can both express the mearning of 'have the ability to'. In conventional research, '能' means 'ability' and 'achievement', and '会' has the meaning of 'skill'. However, little research shows how the difference between '能' which means 'ability' ,and '会' which means 'skill', is carried out. On the other side, there is also little research about '能' and '会' when both express the meaning of 'achievement'. In this paper, which based on previous research, we try to summarize he fundamental semantic characteristics of '能' and '会'. Furthermore, we try to analyze terms and conditions of the use of '能' and '会' cooccurring with numerical expressions which has not been touched upon in the conventional research, and we try to define the difference of meaning between '能' and '会'.
