<p>2001 年から2002 年にかけてのエンロンやワールドコムの経営破綻を受け，米国では内部統制やガバナンスに関する制度の見直しが行われた．本稿では，エンロンとワールドコムの経営破綻の状況を振り返りつつ，制度面から見た問題点と対応の動きについてとりまとえめたうえで，日本の状況との比較を行う．</p>
